Article 1
Name, registered office and duration
- The non-profit association adopts the name WONDROUS MANIFEST – ASSOCIAÇÃO and has its registered office at Avenida Engenheiro Duarte Pacheco, no 19, R/C, Sala 4, Lisboa, parish of Santo António, council of Lisboa and is established for an indefinite period.
- The association has the legal person number 518 051 307 and the social security identification number 25180513070.
Article 2
Purpose
The purpose of the Association is to defend consumers in the European Union, in particular, to increase consumer welfare and generally promote the rule of law, the environment and the economy of the European Union. Protecting and promoting the rights and interests of consumers who are citizens of the European Union or citizens of third countries resident in the European Union, including but not limited to consumers who are members of the Association. The Association protects all consumer rights conferred on them by the legal systems of the European Union and the Member States of the European Union, including those arising from Consumer Law, the General Contract Terms Regime, Advertising Law, Competition Law, Unfair Commercial Practices Law, Regulatory Law, Environmental Law, and Privacy and Personal Data Law, including the General Data Protection Regulation.
Article 3
Income
The following constitute the association’s income
- a) the initial fee paid by members;
- b) the proceeds of membership fees set by the general meeting;
- c) income from the association’s own assets and income from social activities;
- d) donations accepted by the association;
- e) subsidies awarded to it.
Article 4
Bodies
- The association’s bodies are the general assembly, the board of directors and the supervisory board.
- The term of office of the members of the governing bodies is 4 year(s).
Article 5
General Assembly
- The general assembly is made up of all members in full possession of their rights.
- The powers of the general meeting and the way in which it operates shall be those laid down in the Civil Code, specifically article 170, and articles 172 to 179.
- The board of the general meeting is made up of three members, a chairman and two secretaries, who are responsible for running the meetings and drawing up the respective minutes.
Article 6
Board of directors
- The board of directors, elected at the general meeting, is made up of 3 members.
- The board is responsible for the social, administrative and financial management of the association, and representing the association in and out of court.
- The way in which it operates is laid down in article 171 of the Civil Code.
- The association is bound by the intervention of two board members.
Article 7
Supervisory Board
- The supervisory board, elected at the general meeting, is made up of 3 members.
- The supervisory board is responsible for supervising the administrative and financial acts of the board of directors, auditing its accounts and reports, and giving its opinion on any acts that involve an increase in expenditure or a decrease in income.
- The way in which it operates is laid down in article 171 of the Civil Code.
Article 8
Admission and exclusion
The conditions for admission and exclusion of members, their categories, rights and obligations shall be set out in regulations to be approved by the general meeting.
Article 9
Termination. Destination of assets.
Once the association has been wound up, the fate of any assets that form part of the company’s assets, which are not earmarked for a specific purpose and which have not been donated or left to it in any way, shall be the subject of a decision by the members.
